silux - Software End User License Agreement

1. Subject of the License Agreement
The silux 2D Standard - software and any accompanying documentation (hereinafter referred to collectively as the "Product") are the property of silux AG., CH-6317 Zug-Oberwil in Switzerland (hereinafter referred to as the "Licenser"). The Product is provided to the End User (hereinafter referred to as "Licensee") free of charge. The Licensee obtains a personal, non-exclusive and non-transferable right to use the Product in written or electronic form on a system installed on the Licensee's premises (hereinafter referred to as "Licensee System") during an undetermined period of time in the defined fashion explained below.

2. Permitted Uses
Licensee's use of the Product is limited to: the complete or partial loading, saving, recording, transferring, running and replaying of the Product in a computer readable way on the Licensee System for the purpose of running the Product instructions for the processing of data belonging to the Licensee, the temporary establishment of backup copies for such purposes and the use of documentation in connection with using the Product in the defined fashion.

3. Expanded Use
Licenses are required for each work station on which the Product will be used as in Paragraph 2 above. The Product may not be used on a non-Licensee System.

4. Protected Rights
The Licensee accepts protected rights, especially the copyright of the Licenser in connection with the Product. The Licensee will therefore include the protection right remarks on all full or partial copies of the Product established in connection with the right of use.

5. Safety Measures
The Licensee will employ all organizational and technical measures to ensure that the Product is protected from unintentional dispersal, i.e. access, theft or misuse by unauthorized persons. Specifically, the Licensee will erase all parts of the Product before transferring storage media to others. The Licensee, in addition, will keep an inventory of all backup copies created in connection with his right of use.

6. Responsibility of the Licensee
The responsibility for the acquisition and maintenance of a suitable computer system, the choice and installation of the Product, and the results and simulations derived from its use, lies with the Licensee. The Licenser cannot guarantee any of the above.

7. Additional Services
Services in connection with the adaptation of the Product to special requirements of the Licensee, access to the User Hotline, training of Licensee personnel, analyses and solutions for specific mechanical engineering problems and copies of the printed professional documentation package will be provided on request, and at prices or fees established by the Licenser. Such prices or fees are subject to change without notice.

8. Restrictions
The Licensee may not make or distribute copies of the Product, or transfer the Product from one hardware product or medium to another or over a network.
The Licensee may not decompile, reverse engineer, disassemble, or otherwise reduce the software part of the Product to a human-perceivable form.
The Licensee may not modify, sell, rent, transfer, resell for profit, distribute or create derivative works based upon the Product or any part thereof.

9. Disclaimer of Warranties and of Technical Support
The Product is provided to the Licensee free of charge, and on an "AS IS" basis without any technical support or warranty of any kind from the Licenser, unless differently stipulated within the scope of Paragraph 7.
Nevertheless, the Licenser warrants that the Product is the latest valid and tested standard version at the time of delivery.

10. Final Stipulation (Governing Law)
This License Agreement shall be governed by the laws of Switzerland. The agreement of the UN concerning contracts of international trade of April 11, 1980 is not applicable. The court at the domicile of the Licenser is the relevant court for all legal matters.
